License Agreement

This software is proprietary and intended for business use only. It is not
intended for purchase by consumers. By purchasing and using this product, you
confirm that you are acting in the course of business and agree to the following
terms.
License Grant
Subject to payment and compliance with this agreement, Filament Technology Ltd
grants you a limited, non-exclusive, non-transferable, non-sublicensable license
to install and use Blueprint in accordance with your purchased license.
You are not purchasing the source code itself — the code remains the
intellectual property of Filament Technology Ltd.
Per-Developer License
- Each license is granted to one (1) individual developer
- A licensed developer may use Blueprint in unlimited projects
- A licensed developer may also use it in unlimited local development and
staging environments
- Each developer who uses Blueprint must have their own license — licenses
cannot be shared between developers
- If additional developers in your team need to use Blueprint, you'll need to
purchase additional licenses
Neither the license nor its associated developer seat is transferable. You may
not sell, give away, or otherwise transfer your license to another person or
organization.
What Counts as a "Developer"
A developer is any individual person who directly uses Blueprint in the course
of their work. This includes anyone who runs, configures, or interacts with
Blueprint to produce implementation plans. A single license covers one named
individual, regardless of how many projects or organizations they work with.
What You Can Do
- Install and use Blueprint in projects according to your license
- Modify Blueprint's source code for your own use within your licensed projects
- Create derivative works based on Blueprint for your own internal use
What You Cannot Do
- Redistribute the source code. You may not share, publish, sublicense,
sell, or otherwise distribute Blueprint's source code — whether in its
original form or modified — to anyone who has not purchased their own license.
- Make the code publicly available. You may not publish the source code to
any public repository, package registry, website, or any other publicly
accessible location.
- Resell or relicense. You may not resell Blueprint, bundle it into a
product for sale, or include it in any offering where Blueprint's source code
is delivered to the end user.
- Build competing products. You may not copy, reuse, or adapt substantial
portions of Blueprint's source code to create a competing commercial product.
Modifying the code for use within your own projects is fine, but using it as a
foundation to build and sell a substantially similar product is not.
- Remove or alter copyright notices. You may not remove, obscure, or modify
any copyright notices, license information, or attribution included in the
source code.
To be clear: your end users can use the functionality Blueprint provides within
your application, but they should never receive a copy of Blueprint's source
code.
Updates
There are two ways to access updates:
- One-time purchase: You receive access to updates for one (1) year from
the date of purchase. After that year, you may continue using the version you
have, but you will no longer receive new updates unless you purchase again.
- Subscription: You receive access to updates for as long as your
subscription is active. If your subscription lapses, you may continue using
the last version you received, but you will no longer receive new updates
unless you resubscribe.
Filament Technology Ltd is under no obligation to release updates, new features,
or bug fixes for Blueprint. Any updates are provided at our sole discretion.
Refunds
You may request a refund within 30 days of your original purchase date. Once
a refund has been confirmed, your license is revoked and you must delete all
copies of Blueprint's source code from your systems. Upon request, you agree to
confirm in writing that all copies have been deleted. Continued use of Blueprint
after a refund is a violation of this agreement.
Compliance and Verification
Upon reasonable notice, you agree to provide information reasonably necessary to
verify that your use of Blueprint complies with your license. This may include
confirming the number of developers using Blueprint.
If verification reveals material under-licensing — for example, more developers
using Blueprint than there are licenses — you agree to pay the applicable
license fees for the additional usage, plus the reasonable costs of the
verification process.
Termination
If you materially breach any of these terms, Filament Technology Ltd will notify
you and give you 14 days to resolve the issue. If the breach is not resolved
within that period, your license will be terminated. Upon termination, you must
stop using Blueprint and delete all copies of the source code from your systems.
Filament Technology Ltd reserves the right to terminate immediately in cases of
source code redistribution or other breaches that cannot be meaningfully cured.
No Warranty
Blueprint is provided "as is" and "as available" without warranty of any kind,
whether express or implied. To the maximum extent permitted by law, Filament
Technology Ltd disclaims all warranties, including but not limited to:
- Any implied warranty of merchantability or satisfactory quality
- Any implied warranty of fitness for a particular purpose
- Any warranty of non-infringement
- Any warranty that Blueprint will be error-free, uninterrupted, secure, or
available at any particular time
No advice or information — whether oral or written — obtained from Filament
Technology Ltd creates any warranty not expressly stated in this agreement.
Limitation of Liability
To the maximum extent permitted by law, the total aggregate liability of
Filament Technology Ltd under this agreement shall not exceed the amount you
paid for Blueprint in the 12 months preceding the claim.
Filament Technology Ltd is not liable for any indirect, incidental, special, or
consequential damages — including lost profits, lost data, or business
interruption — arising from the use of or inability to use Blueprint.
Nothing in this agreement excludes or limits liability for death or personal
injury caused by negligence, or for fraud or fraudulent misrepresentation. These
exclusions are required by law and override any other provision of this
agreement.
Output Accuracy
Blueprint provides tools for generating implementation plans and code
specifications. It does not guarantee the accuracy, completeness, or reliability
of any plans, specifications, code suggestions, or other outputs it produces —
whether the source of any inaccuracy is in the underlying data, Blueprint's own
logic, or any other factor.
You should not rely on Blueprint's output without review and verification. To
the maximum extent permitted by law, Filament Technology Ltd accepts no
liability for any loss, damage, or cost arising from implementation decisions
made based on Blueprint's output, even where the inaccuracy originates from
Blueprint itself.
It is your responsibility to verify that any output produced by Blueprint is
correct before acting on it.
By using Blueprint, you acknowledge and accept that:
- Blueprint is a planning and specification tool, not a verified or audited
source of implementation guidance
- Outputs may contain errors, inaccuracies, or omissions
- You are solely responsible for validating any output before relying on it
Indemnification
You agree to indemnify and hold harmless Filament Technology Ltd, its officers,
and its employees from any claims, losses, damages, liabilities, and expenses —
including legal fees — brought by any third party arising from:
- Your breach of this agreement
- Your misuse of Blueprint
- Your unlawful use of Blueprint
- Decisions made based on output produced by Blueprint
Intellectual Property
Blueprint is and remains the sole property of Filament Technology Ltd. Nothing
in this agreement transfers ownership of any intellectual property to you.
Filament Technology Ltd does not provide any guarantee that Blueprint does not
infringe third-party intellectual property rights, and accepts no liability for
any such claims. You use Blueprint at your own risk in this regard.
Force Majeure
Filament Technology Ltd is not liable for any delay or failure to perform its
obligations under this agreement due to events beyond its reasonable control.
This includes, but is not limited to, natural disasters, war, terrorism, civil
unrest, government action, power or internet outages, cyberattacks, pandemics,
or the failure of third-party services or infrastructure.
Assignment
You may not assign or transfer this agreement or any rights under it without the
prior written consent of Filament Technology Ltd.
Filament Technology Ltd may assign this agreement without your consent in
connection with a merger, acquisition, reorganisation, or sale of all or
substantially all of its assets. In such cases, this agreement will continue to
apply under the same terms.
Governing Law
This agreement is governed by the laws of England and Wales. Any disputes
arising from this agreement will be subject to the exclusive jurisdiction of the
courts of England and Wales.
Severability
If any part of this agreement is found to be unenforceable or invalid, the
remaining terms continue to apply in full.
Entire Agreement
This agreement constitutes the entire agreement between you and Filament
Technology Ltd regarding Blueprint and supersedes all prior discussions,
representations, and agreements — whether written or oral. No statement,
promise, or representation made outside of this agreement forms part of the
contract between us.
Changes to This Agreement
Filament Technology Ltd reserves the right to update or modify this license
agreement at any time. If you purchased a one-time license, your license
continues to be governed by the version of this agreement in effect at the time
of your purchase, except where changes do not reduce your rights — for example,
clarifications or additional protections for Filament Technology Ltd. Such
changes may apply to all existing licenses with 30 days' notice. For active
subscribers, Filament Technology Ltd will provide at least 30 days' notice
before updated terms take effect at the next renewal. Changes apply to new
purchases and subscription renewals from the date they are published.
Summary
Buy a license for each developer, use it in unlimited projects, modify it for
your own needs — but don't share the source code with anyone else. That's the
deal.
